QuickQuill Terms of Service

These Terms of Service (“Terms”) govern your use of QuickQuill (the “App”), a local-first dictation and transcription application for macOS. The App is provided by IDE LABS, a sole proprietorship operated by Taisei Ide (井手大誠), based in Fukuoka, Japan (“we”, “us”, “our”).

By downloading, installing, or using QuickQuill, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. The App

QuickQuill transcribes speech to text on your device. Dictation, meeting capture, live subtitles, translation, and summaries run locally; no audio or transcript is sent to our servers. The App requires no account and works offline. What we do and do not process is described in our Privacy Policy.

2. License Grant

When you purchase a license, we grant you a perpetual, non-exclusive, non-transferable license to install and use QuickQuill for your own personal or internal business use. Your license covers the version you purchase and the updates we release for it. We may offer significant future versions as separate products.

Before purchase, you may evaluate the paid features under the trial described in Section 4.

4. Trial, Pricing, and Free Features

Dictation is free, forever. Push-to-talk dictation does not require a license.

The meeting workflow — Capture, File Import, summaries, translation, and export — is available on a 14-day free trial that begins the first time you use Capture or File Import. After the trial ends, those features require a valid license; dictation and access to your existing local history remain free.

Prices are shown at checkout. We may change prices for future purchases, but a change never affects a license you have already bought.

5. Purchases and Merchant of Record

Purchases are processed by our reseller and Merchant of Record, Paddle.com Market Limited (“Paddle”). Paddle handles payment, billing, and applicable sales tax/VAT, and is the seller of record for your transaction. Your purchase is therefore also subject to Paddle’s Buyer Terms.

After a successful purchase, we issue a signed license that we deliver to the email address used at checkout. You can re-request your license at any time using that email address.

6. Refunds

Refunds are governed by our Refund Policy, which offers a 30-day money-back guarantee. Refunds are processed through Paddle.

7. Intellectual Property

The App, its name, and its design are owned by us and protected by law. These Terms grant you a license to use the App, not any ownership of it. Anything you record, transcribe, or create with the App is yours; because processing is local, we never receive or store it.

8. Disclaimer of Warranties

The App is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that transcription, translation, or summaries are accurate or complete, or that the App will be uninterrupted or error-free. You are responsible for reviewing any output before relying on it.

9. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the App. Our total liability for any claim relating to the App is limited to the amount you paid for your license in the 12 months before the claim.

10. Termination

Your license continues until terminated. We may suspend or terminate your license if you materially breach these Terms (for example, by circumventing license verification or redistributing the App). On termination you must stop using the App. Because your data lives on your device, you control its deletion.

11. Changes to These Terms

We may update these Terms. We will post the updated version here with a new “Last Updated” date. Continued use of the App after a change means you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of Japan. Any dispute will be submitted to the exclusive jurisdiction of the Fukuoka District Court as the court of first instance.
